1) Scope of Application
1.1 These Terms and Conditions ("T&C") apply to all contracts for the sale and delivery of goods via the online store shopramply.com between Organic Ecommerce LLC (hereinafter referred to as "seller") and a customer ("customer").
1.2 Customers can be consumers or businesses. A consumer is any natural person who enters into a transaction for purposes that are not primarily related to their commercial or professional activity. A business is any person or legal entity acting in a commercial or self-employed professional capacity.
2) Conclusion of Contract
2.1 The product listings in the seller's online store are not binding offers but serve as an invitation to place an order.
2.2 The customer can submit a binding offer using the online order form. A contract is concluded when the seller accepts the order by email confirmation, by dispatching the goods, or by requesting payment.
2.3 Order processing and communication are carried out via email. The customer is responsible for ensuring that the email address provided is correct and that messages from the seller can be received.
2.4 Contracts are concluded exclusively in English.
❗ 3) Returns and Refunds
3.1 All returns, refunds, and related conditions are governed by our Return & Refund Policy.
3.2 Due to the size and nature of our products, we do not require customers to return items. All refund or replacement requests are handled on a case-by-case basis.
3.3 We may request photo or video evidence to evaluate and process any claim.
3.4 Refunds may be subject to processing, handling, and logistics costs.
3.5 We reserve the right to deny or partially refund requests in cases of:
- misuse
- excessive damage
- alterations to the product
- insufficient evidence
3.6 In cases where a product is defective, damaged upon arrival, or unsafe, the customer is entitled to a full refund or replacement.
4) Prices and Payment Terms
4.1 All prices include applicable sales tax (where required by law). Any shipping costs are displayed separately.
4.2 The available payment methods are listed in the seller’s online store during checkout.
4.3 If payment is made via PayPal or Shopify Payments, the terms of use of those services apply.
5) Delivery and Shipping Terms
5.1 Goods are delivered to the shipping address provided by the customer. In the case of PayPal payments, the address stored with PayPal is authoritative.
5.2 If delivery fails due to incorrect or incomplete address information provided by the customer, the customer is responsible for any resulting additional costs.
5.3 Shipping times are estimates and not guaranteed unless explicitly stated.
5.4 The seller is not responsible for delays caused by carriers, customs, or external factors beyond our control.
5.5 Self-collection is not available.
6) Retention of Title
The delivered goods remain the property of the seller until full payment is received.
7) Liability for Defects
7.1 Customers must inspect the goods upon delivery and report any issues within a reasonable time.
7.2 In the event of defective, damaged, or unsafe products, customers are entitled to a refund or replacement in accordance with our Return & Refund Policy.
8) Limitation of Liability
8.1 To the fullest extent permitted by law, the seller shall not be liable for indirect, incidental, or consequential damages arising from the use of the product.
8.2 The seller’s total liability shall not exceed the purchase price of the product.
8.3 Nothing in these Terms shall limit liability for gross negligence, fraud, or personal injury where such limitation is not permitted by law.
9) Applicable Law
These Terms and Conditions are governed by the laws of the State of Wyoming and applicable U.S. federal laws, without regard to conflict of law principles.
10) Dispute Resolution
10.1 The seller is not obligated and not willing to participate in dispute resolution procedures before a consumer arbitration board.
10.2 Any disputes shall be resolved exclusively in the competent courts of the State of Wyoming.
